FBCL’s responsibilities and relationships are varied and reflect the unique origin of each bridge. FBCL owns crossing assets and provides oversight to bridge operations, administering international agreements associated with the bridges, leading bridge engineering and inspection duties and management of bridge capital investment projects.

The Corporation is governed by a Board of Directors (“the Board”) that is composed of seven directors, including the Chairperson and the President and Chief Executive Officer (CEO). The Chairperson and the CEO are appointed by the Governor in Council, in accordance with section 105 of the Financial Administration Act. The directors, other than the Chairperson and the CEO, are appointed by the Minister with the approval of the Governor in Council.

The present form of FBCL was created through an amalgamation with the St. Mary’s River Bridge Company, previously a wholly-owned subsidiary, on January 27, 2015, and the Blue Water Bridge Authority, another parent Crown corporation, on February 1, 2015. FBCL was also authorized by Bill C-4, the Economic Action Plan 2013 Act, No. 2, to amalgamate with its remaining subsidiary, The Seaway International Bridge Corporation, Limited (SIBC). Such an amalgamation is subject to agreement with the international partner.

The present organizational structure allows FBCL to manage all bridges as a portfolio, sharing of staff, expertise, support infrastructure, revenues, expenses and best practices through a common administrative framework for the collective benefit of the four assets.

Responsibilities

The Corporation was incorporated with the mandate to replace The St. Lawrence Seaway Authority as the corporate body with the responsibility for superintending the Authority’s non-navigational assets. The St. Lawrence Seaway Authority was dissolved on December 1, 1998, pursuant to provisions of the Canada Marine Act. The management of the Authority’s navigational assets was transferred to a not-for-profit corporation while the Authority’s non-navigational assets were transferred to FBCL.

FBCL also ensures the acquisition of lands for the construction, maintenance, and operation, alone or in conjunction with an appropriate authority in the United States, of bridges connecting Canada with the United States; and the acquisition of lands for, and construction or acquisition, maintenance, and operation of such bridges and works or other property as the Governor in Council may deem necessary. FBCL reports to Parliament through the Minister of Transport.

The Seaway International Bridge Corporation, Ltd.: An FBCL subsidiary with a head office, located in Cornwall, Ontario, operates and manages an international toll bridge system between Cornwall, Ontario and Rooseveltown, New York, on behalf of the owners – The Federal Bridge Corporation Limited of Canada and the Saint Lawrence Seaway Development Corporation of the United States.

The Sault Ste. Marie Bridge Authority is a distinct legal entity constituted by Michigan Department of Transportation and FBCL to act as bridge owner. This entity has delegated the administrative authority to the International Bridge Administration, a distinct administrative unit within the Michigan Department of Transportation for the operational management of the Sault Ste. Marie International Bridge. This international bridge links Sault Ste. Marie, Ontario and Sault Ste. Marie, Michigan.

The main business involvement of FBCL at the Thousand Islands International Bridge is the operation of the Canadian portion of the Thousand Islands Bridge System at Ivy Lea, Ontario which is administered for FBCL on a contract basis, by the Thousand Islands Bridge Authority of the United States.
